日本为了扩大在华影响，滕井来济南劝寿亭与之合伙开办染厂。寿亭对日本人恨之入骨，滕井之邀再遭拒绝。滕井没有别的选择，与臭名昭著的坏律师訾文海合伙开厂。双方虽然矛盾重重，但为了共同的利益，谋划开办染厂，取名为模范染厂。 寿亭来到上海，求见林氏。六合染厂林老爷为了砺练自己儿子林祥荣，早已退居幕后。祥荣和赵东初是同学，寿亭是东初的朋友，本来应当好好接待。但林祥荣觉得寿亭原是要饭的出身，想杀杀他的锐气。就这样把寿亭放在会客室干坐了两天。 济南方面，訾家爷儿俩正在商量怎么和滕井合伙办厂，门口却来了出丧闹事的。原因是他代为人家打官司，逼死了人命，剩得孤儿寡妇，儿子见此，劝说父亲出去给一点钱了事，訾文海却以法律的名义，叫来了局子，驱赶发丧人群。心狠手毒，可见一斑。
